1. Introduction

Welcome to KeyBouncer. These Terms and Conditions ("Terms") govern your access to and use of the KeyBouncer platform, website, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

KeyBouncer provides a cloud-based platform for software license key management, including license generation, real-time validation APIs, hardware-locked activations, analytics, and team collaboration. The Service is offered as a subscription-based SaaS product with multiple plan tiers.

3. License to Use

Subject to your compliance with these Terms, KeyBouncer grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:

  • Resell, sublicense, or redistribute the Service or any part thereof
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to build a competing product or service
  • Remove or alter any proprietary notices, labels, or marks on the Service

4. Subscription Plans

KeyBouncer offers the following subscription tiers, each with different feature sets and usage limits:

  • Free — Up to 50 license keys, 1 application, 1,000 validations per month
  • Starter ($29/mo) — Up to 500 license keys, 5 applications, 50,000 validations per month
  • Pro ($79/mo) — Unlimited license keys and applications, 500,000 validations per month, up to 5 team members
  • Enterprise ($199/mo) — Unlimited everything including team members and validations

KeyBouncer reserves the right to modify plan features, limits, and pricing with reasonable notice. Existing subscribers will be notified of material changes before they take effect.

5. Billing and Payment

Paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize KeyBouncer to charge your payment method on a recurring basis until you cancel.

  • All fees are stated in US dollars and are non-refundable except as required by law
  • You are responsible for providing accurate billing information
  • Failed payments may result in suspension or downgrade of your account
  • You may cancel your subscription at any time through the billing portal; access continues until the end of the current billing period

6. Account Responsibilities

You are responsible for maintaining the security of your account, including safeguarding your API keys, login credentials, and any access tokens. You agree to notify KeyBouncer immediately of any unauthorized use. KeyBouncer is not liable for losses caused by unauthorized access to your account.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Distribute malware, spam, or other harmful content
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Exceed rate limits or abuse the API in a manner that degrades performance for other users

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, APIs, and software, are the exclusive property of KeyBouncer and are protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property.

9. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described therein.

10. Service Availability

KeyBouncer strives to maintain high availability but does not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. KeyBouncer will make reasonable efforts to provide advance notice of scheduled downtime.

11. Termination

Either party may terminate this agreement at any time. KeyBouncer reserves the right to suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately and your data may be deleted after a reasonable retention period.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KEYBOUNCER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYBOUNCER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL. IN NO EVENT SHALL KEYBOUNCER'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO KEYBOUNCER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless KeyBouncer and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.

16. Changes to These Terms

KeyBouncer reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
